Welcome to CargoID Secure.

These Terms of Use ("Terms") govern access to and use of the CargoID Secure platform, including the CargoID Secure website, web portals, and mobile application (collectively, the "Platform" or "Service"), provided by CargoID Secure LLC ("CargoID Secure," "we," "us," or "our").

By creating an account, accepting an invitation to the Platform, or otherwise accessing or using the Service, you ("User," "you") agree to be bound by these Terms. If you do not agree, do not access or use the Service.

If you are accepting these Terms on behalf of a company or other legal entity (a "Carrier," "Broker," "Shipper," or "Warehouse" organization), you represent that you have authority to bind that entity, and "you" refers to both you and that entity.

1. About CargoID Secure

CargoID Secure provides a freight identity-verification and secure pickup-authorization platform. The Service is designed to help verify driver identity, bind driver accounts to registered mobile devices, generate time- and location-limited secure tokens for freight pickup authorization, and record shipment events to support a chain-of-custody record.

The Service is used by multiple categories of Users, including:

Shippers — who create and manage shipments
Brokers — who coordinate shipment assignment between shippers and carriers
Carriers — who accept shipments and assign drivers
Drivers — who are verified through the Platform and authorized to pick up and deliver freight
Warehouses — who scan and validate secure pickup tokens and release freight

Different Users have different roles, permissions, and responsibilities under these Terms, as described in Section 4.

2. Authorized Use

You must be at least 18 years old to create an account. Drivers must hold a valid, unexpired government-issued driver's license or equivalent commercial driving credential appropriate to the vehicle they operate. Organizations (Carriers, Brokers, Shippers, Warehouses) represent that they are lawfully authorized to conduct business in the jurisdictions in which they operate.

By using the Platform, you agree to:

Provide accurate and complete registration information.
Complete all required identity verification steps.
Use only your own registered account and authorized mobile device.
Keep your login credentials confidential.
Immediately notify your organization or CargoID Secure if you suspect unauthorized access to your account.

3. Identity Verification

3.1 Account Creation

Driver accounts are created following an invitation from an authorized Carrier organization. Other User accounts (Shipper, Broker, Carrier administrator, Warehouse) are created through channels authorized by CargoID Secure or an existing organizational account.

3.2 Identity Verification

As a condition of using the Service as a Driver, you consent to identity verification, which may include submission of a government-issued identity document and a live facial photo, processed by CargoID Secure's identity verification vendor. Identity verification is described further in the CargoID Secure Privacy Policy and in a separate biometric information consent presented during onboarding. You agree to provide accurate, current, and complete information during this process.

3.3 Device Binding

The Service may bind your account to a specific registered mobile device for security purposes. You are responsible for maintaining the security of that device, including any biometric authentication (such as Face ID or fingerprint) used to access the Service. If your device is lost, stolen, or replaced, you must promptly follow the device-recovery process described in the Service, or contact CargoID Secure support.

3.4 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify CargoID Secure promptly at security@cargoidsecure.com of any unauthorized access to or use of your account, or any suspected compromise of your registered device.

3.5 One Identity, One Account

Each individual may maintain only one active CargoID Secure driver identity. You agree not to create or attempt to create multiple driver accounts, or to circumvent identity verification, duplicate-account detection, or device-binding controls.

4. User Roles and Responsibilities

4.1 Drivers

Drivers agree to: provide accurate identity information; use the Platform only on an authorized, registered device; comply with all applicable traffic, safety, and commercial driving laws and regulations; and use secure pickup tokens only for their intended purpose and only at the authorized time, place, and shipment for which they were issued.

4.2 Carriers

Carrier organizations agree to: only invite individuals whom they have a good-faith basis to believe are legitimate prospective or current drivers; promptly update or terminate driver relationships when no longer accurate (e.g., when a driver leaves the organization); properly manage company-owned devices and phone numbers, including promptly reporting reassignment to CargoID Secure through the Platform's transfer process; and not attempt to access, alter, or delete a driver's verified identity data.

4.3 Shippers and Brokers

Shippers and Brokers agree to use shipment and verification-status information provided by the Platform solely for legitimate business purposes related to the shipment in question, and not to use the Platform to make employment, contracting, or other adverse decisions about a driver except where the Platform's stated verification-status information is objectively relevant to a specific pickup authorization decision.

4.4 Warehouses

Warehouse Users agree to use the Platform's scanning and release tools in accordance with their facility's operating procedures and only to release freight upon a valid, unexpired, and properly scanned secure pickup token.

5. Acceptable Use

You agree not to:

Access or attempt to access another User's account or data without authorization
Interfere with, disrupt, or attempt to circumvent any security, identity-verification, device-binding, or token-based control of the Service
Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law
Use the Service to transmit any unlawful, fraudulent, or harmful content or instruction
Misrepresent your identity, role, or authority when using the Service
Use automated means (bots, scrapers) to access the Service without CargoID Secure's prior written consent
Use the Service in any manner that could damage, disable, overburden, or impair CargoID Secure's infrastructure

6. Freight and Shipment Disclaimer

CargoID Secure provides identity-verification and secure pickup-authorization technology. CargoID Secure is not a carrier, broker, shipper, warehouse operator, or insurer, and does not take possession, custody, or control of any freight. CargoID Secure does not guarantee the prevention of cargo theft, loss, damage, or delay. The Service is a tool intended to reduce identity-related fraud risk in the pickup process; it does not eliminate all risk associated with freight transportation, and Users remain responsible for their own operational, safety, and security practices.

7. Intellectual Property

The Service, including its software, design, trademarks, logos, and content (excluding User-submitted content and data), is the property of CargoID Secure LLC or its licensors and is protected by intellectual property laws. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. No other rights are granted.

8. User Data and Privacy

Collection and use of personal information, including identity-verification and biometric information, are governed by the CargoID Secure Privacy Policy, available at https://www.cargoidsecure.com/privacy-policy ; which is incorporated into these Terms by reference.

The Service integrates with third-party service providers, including identity-verification, communications, and cloud-infrastructure vendors. CargoID Secure is not responsible for the acts, omissions, availability, or performance of third-party services, though CargoID Secure will use commercially reasonable efforts to select and oversee reputable providers.

9. Third-Party Services

10. Suspension and Termination

CargoID Secure may suspend or terminate a User's access to the Service, in whole or in part, for violation of these Terms, suspected fraud, security risk, or as required by law. Carrier organizations may terminate their own relationship with a Driver through the Platform; such termination ends the Carrier-Driver relationship but does not delete or terminate the Driver's underlying CargoID Secure identity. Drivers and organizational Users may request closure of their own account by contacting security@cargoidsecure.com. Certain records may be retained after closure as described in the Privacy Policy and as required for legal, audit, or shipment-record purposes.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CARGOID SECURE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL PREVENT ALL INSTANCES OF FRAUD, THEFT, OR UNAUTHORIZED ACCESS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARGOID SECURE AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST FREIGHT, OR LOST DATA, ARISING OUT OF OR RELATED TO USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CARGOID SECURE'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY THE APPLICABLE ORGANIZATIONAL USER TO CARGOID SECURE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Nothing in these Terms limits liability for gross negligence, willful misconduct, or fraud, or any liability that cannot be limited or excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless CargoID Secure and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Service, or your violation of any applicable law, provided that this obligation does not extend to claims arising from CargoID Secure's own negligence or willful misconduct

14. Modifications to the Service and Terms

CargoID Secure may modify these Terms from time to time. Material changes will be communicated to Users through the Platform or by other reasonable means, and the "Effective Date" above will be updated. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. CargoID Secure may also modify, suspend, or discontinue features of the Service at its discretion, with reasonable notice where practicable.

15. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

16. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. These Terms, together with the Privacy Policy and any biometric information consent presented within the Service, constitute the entire agreement between you and CargoID Secure regarding the Service.
